XPR VIP Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you and XPR VIP ("Company," "we," "us," or "our") governing your access to and use of our website located at www.xprvip.com, as well as any related services, sweepstakes, promotions, features, and content (collectively, the "Platform"). By accessing, browsing, registering for an account, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

To be eligible to use the Platform, create an account, or participate in any sweepstakes or promotions offered by XPR VIP, you must:

• Be at least eighteen (18) years of age, or the age of majority in your jurisdiction of residence, whichever is older.
• Be a legal resident of a jurisdiction where sweepstakes and promotional participation is permitted by law.
• Not be barred from participating under applicable laws. The Platform and its sweepstakes are void where prohibited or restricted by law. Employees, officers, directors, agents, and representatives of XPR VIP, its parent companies, subsidiaries, affiliates, promotion agencies, and immediate family members (spouse, parents, siblings, and children) and household members of each are not eligible to win prizes or participate in sweepstakes drawings.

You may be required to register for a free user account to access certain features, earn points, and participate in sweepstakes. When registering, you agree to:

• Provide accurate, current, and complete information about yourself as requested by the registration forms.
• Maintain and promptly update your account information to keep it accurate, current, and complete.
• Maintain the strict confidentiality and security of your login credentials. You are entirely responsible for all activities that occur under your account.
• Notify XPR VIP immediately of any unauthorized use of your account or any other breach of security. XPR VIP shall not be liable for any loss or damage arising from your failure to protect your account information or password.

NO PURCHASE, PAYMENT, OR FINANCIAL TRANSACTION IS NECESSARY TO REGISTER, ACCESS THE PLATFORM, EARN POINTS, OR ENTER SWEEPSTAKES. A purchase or payment of any kind will not increase your chances of winning. Joining XPR VIP and participating in our standard promotional activities is entirely free.

XPR VIP is a fan engagement and rewards platform that offers users the opportunity to participate in promotional sweepstakes. Users may join for free, create an account, and earn "Points" through various platform engagement activities (such as watching content, completing surveys, participating in digital challenges, and other qualifying actions as specified per promotion). Users may then allocate their accumulated Points to enter random drawings for prizes, which may include sports experiences (such as the Super Bowl, World Series, and Formula 1 races), entertainment experiences, travel excursions, home and lifestyle installations, and authenticated collectibles. Specific rules, entry periods, and prize descriptions for individual sweepstakes will be provided in their respective official rules.

• Points have no cash value, are non-transferable, and cannot be redeemed, sold, bartered, assigned, or exchanged for cash, gift cards, or any other monetary value.
• Points are not gambling chips, currency, or store credit, but are promotional units used solely for entering drawings within the Platform.
• XPR VIP reserves the right to modify, suspend, or cancel the point system, adjust point earning rates, establish expiration policies for points, or terminate accumulated points in the event of suspected fraud, abuse, or violation of these Terms.

Each sweepstakes or promotional opportunity offered on the Platform is governed by these Terms as well as any specific Official Rules applicable to that promotion.

• Users may enter drawings by allocating the required number of Points as specified in the promotion details.
• Winners of each sweepstakes will be selected in a random drawing from among all eligible entries received during the applicable promotion period.
• The odds of winning depend entirely upon the total number of eligible entries received for each specific drawing.
• Potential winners will be notified via email and/or mobile text message using the contact information associated with their account.
• Potential winners may be required to sign and return an Affidavit of Eligibility, Liability Release, and (where legal) Publicity Release within a specified time period to claim their prize.
• If a potential winner cannot be contacted, fails to complete and return required documentation within the specified timeframe, is found to be ineligible, or declines the prize, the prize may be forfeited and an alternate winner may be selected through a random drawing from remaining eligible entries.
• Prizes are awarded "as is" without warranty of any kind, express or implied. Prizes are non-transferable and no substitution or cash equivalent is permitted, except at XPR VIP’s sole discretion.
• All federal, state, local, or other taxes and any other costs and expenses associated with prize acceptance and use not specified herein are the sole responsibility of the winner.

You agree not to engage in any of the following prohibited behaviors while using the Platform:

• Using bots, automated scripts, macros, scraping tools, or unauthorized third-party software to access the Platform, register accounts, earn points, or enter sweepstakes.
• Creating multiple accounts, fake accounts, or using false identities to manipulate point balances or sweepstakes entry odds.
• Tampering with, hacking, modifying, or disrupting the security, operation, or functionality of the Platform or its sweepstakes drawings.
• Engaging in fraudulent, deceptive, harassing, abusive, or unlawful conduct. Violation of this Section 9 will result in immediate disqualification from all sweepstakes, forfeiture of all accumulated points, termination of your account, and potential legal action.

All content, design, text, graphics, interfaces, logos, buttons, icons, images, audio clips, video clips, software, trademarks, service marks, and trade names displayed on the Platform (collectively, the "IP") are the property of XPR VIP or its licensors and are protected by applicable copyright, trademark, and intellectual property laws. XPR VIP grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform strictly for your personal, non-commercial use in accordance with these Terms. You may not copy, reproduce, modify, distribute, display, perform, or create derivative works of any Platform IP without our prior express written permission.

The Platform may contain links to third-party websites, advertisers, services, or offers that are not owned or controlled by XPR VIP. XPR VIP does not endorse, assume responsibility for, or guarantee any third-party sites, information, materials, products, or services. If you access any third-party website or service from the Platform, you do so at your own risk, and you understand that these Terms and our Privacy Policy do not apply to your use of such sites.

THE PLATFORM, ALL EXPERIENCES, COLLECTIBLES, POINTS, SWEEPSTAKES, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, XPR VIP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. XPR VIP DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL XPR VIP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM, POINTS, OR ANY PRIZES, EVEN IF XPR VIP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE JOINING THE PLATFORM AND PARTICIPATING IN SWEEPSTAKES IS FREE, YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISSATISFACTION WITH THE PLATFORM IS TO STOP USING THE PLATFORM AND CLOSE YOUR ACCOUNT. IN NO EVENT SHALL XPR VIP’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS EXCEED ZERO U.S. DOLLARS ($0.00).

You agree to indemnify, defend, and hold harmless XPR VIP, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the Platform; (b) your violation of any provision of these Terms; (c) your violation of any rights of any third party, including intellectual property or privacy rights; or (d) your participation in any sweepstakes or acceptance, possession, use, or misuse of any prize.

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS.

• Mandatory Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or any sweepstakes (including formation, breach, termination, enforcement, interpretation, or validity) shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.
• Class Action Waiver: YOU AND XPR VIP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
• Small Claims Court Option: Notwithstanding the agreement to arbitrate, either you or XPR VIP may assert an individual claim in small claims court if the claim qualifies and remains in such court.
• Arbitration Process: The arbitration shall be conducted by a single neutral arbitrator in English, and judgment on the award rendered by the arbitrator may be entered in any court having competent jurisdiction.

These Terms, and any action or dispute related thereto, shall be governed by, construed, and enforced in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

XPR VIP reserves the right to modify, amend, or update these Terms at any time in its sole discretion. When we make changes, we will update the "Last Updated" date at the top of these Terms. Your continued use of the Platform following the posting of any revised Terms constitutes your full acceptance of and agreement to those changes. We encourage you to review these Terms periodically.
